Неявная договорённость (в специальной литературе используются термины implicit contract, буквально неявный договор, и relational contract, т.е. договор, основанный на продолжительных отношениях сторон) между руководством организации, управляющими, и рабочими, существует практически всегда. Эта договорённость описывает взаимные обязательства: прежде всего, сколько и как будут работать сотрудники и что они за это получат от организации. Несколько упрощая, можно сказать, что неявные договорённости «держатся» на репутации сторон, причём репутация гораздо ценнее для компании, чем для любого из её сотрудников, потому что потеря компанией репутации приводит к значительным и долгосрочным затратам: см, напр., Zingales (2000). Это значит, что, если организация один раз откажется выполнять свою сторону договора, то она потеряет свою репутацию — которую потом придётся восстанавливать в течение многих лет
